Highmark releases details of proposed merger with Blue Cross of Northeastern Pennsylvania

In a merger application filed with the state, Pittsburgh health insurer Highmark Inc. says it will try to maintain current employment levels in northeastern Pennsylvania “until the fourth anniversary of the closing date” of its acquisition of Blue Cross of Northeastern Pennsylvania.

Highmark would do business in northeastern Pennsylvania under trade names now used by BCNEPA “for at least 12 months” after the merger is closed.

The two Blues insurers announced Tuesday that they would be pursuing a merger, which would have to be approved by the state Department of Insurance.

Highmark also would assume full control of two BCNEPA subsidiaries, under the terms of the agreement.

The merger application — called a Form A — is being posted online by the state Department of Insurance this afternoon, along with financial information from the two insurers and the proposed merger agreement.
